Terms and Conditions

  1. Interpretation


1.1 Definitions:


  • Business Day: a day other than a Saturday, Sunday or public holiday in Denmark, when banks in Denmark are open for business.

  • Contract: the contract between the Customer and the Supplier for the supply of the Services in accordance with the Contract Details, these Conditions and Appendix A.

  • Services: the services, including without limitation any Deliverables, to be provided by the Supplier pursuant to the Contract.

  • Services Start Date: the day on which the Supplier is to start provision of the Services, as set out in the Contract Details.


1.2 Interpretation:

a) A reference to a statute or statutory provision is a reference to it as amended, extended or re-enacted from time to time. A reference to a statute or statutory provision includes any subordinate legislation made from time to time under that statute or statutory provision. b) Any words following the terms including, include, in particular, for example or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms. c) A reference to writing or written includes email.

2.1 Background: The Customer has decided to do a free trial of the Supplier's service. 2.2 The Supplier: UniHelper is a company that automates the group formation process for education institutions. 2.3 The Parties have agreed that the Supplier must form groups of the students that have been chosen as part of this free trial. 2.4 On this basis, the parties have entered into the following Contract.

1.1 The Supplier shall provide the following services to the Customer:

The subject matter and duration of the Processing

The purpose of the data processor's processing of personal data on its behalf of data controllers are:

·         To automatically divide the students into groups on the basis of the students information entered in the questionnaire.

·         To improve the group formation process offered by the data processor so that it becomes better in later group formations.

·         To allow the data controller's contact persons to carry out the tasks themselves to some extent using UniHelper's self-service solution called “The Portal”.

The nature and  purpose of the Processing

The data processor makes the UniHelper system available to the data controller and thereby stores and processes personal data about the data controller students on the servers of the data processor's sub-processors.
